RESELLER AGREEMENT

TERMS AND CONDITIONS

Following are Favoloso Trend terms and conditions that shall apply to "Resellers", who order Favoloso Trend products at wholesale solely for the purposes of resale to the public.  This Wholesale Agreement (“Agreement”) is made between you or your company and Favoloso Trend, (“Wetskin”) upon execution.

GENERAL ORDERING INFORMATION

To qualify for reseller purchases, you must be a valid retail business and you must submit a copy of an executed copy of this Agreement with your Order Form.  By placing an order with Favoloso Trend, you are representing that you are the owner, agent or representative of a currently valid retail business。

Reseller agrees that WETSKIN products shall be sold only within a retail space.  Reseller agrees that it shall not sell WETSKIN products below the WETSKIN Market Selling Retail Price without Favoloso Trend's prior written consent.  Reseller agrees that it is forbidden to sell WETSKIN products on wholesale basis to other retailers.  Favoloso Trend reserves the right to terminate the account of any Reseller who in Favoloso Trend's sole opinion, diminishes Favoloso Trend's brand or image because of the way products are sold, priced, serviced, depicted or represented.

ONLINE SALES 

 Reseller agrees that it shall not sell Favoloso Trend’s products on the Internet without Favoloso Trend’s prior written consent.  Reseller agrees that it will not engage in, directly or indirectly, any sales of Favoloso Trend’s products on eBay or other auction or similar websites.  In addition to any other remedies Favoloso Trend may have, Favoloso Trend reserves the rights to take appropriate actions or compensation if it is determined that Reseller is engaging in unauthorized online sales of Favoloso Trend’s products.

PAYMENTS

All orders are subject to Favoloso Trend's approval.  Reseller must make payment for all orders in Ringgit malaysia prior to delivery.  Favoloso Trend accepts the following forms of payment: local bank check, cash or other financial transfer instrument agreed in advance.

PRICING POLICY 

Favoloso Trend’s prices are quoted at the time of an order or in the Invoice and are good for ten days.  Prices may change at any time without prior notice.  Products are available on a first come, first buy basis and are not guaranteed to be in stock.  A minimum of 70 pieces for first time order and 50 / 70 pieces for reorder is required.  Fabric designs, colors and style of bikini stocks are chosen by Favoloso Trend for each time order.  Favoloso Trend reserves the right to change this number at any time.

SHIPMENT

Orders are FOB Kuala Lumpur and processed during regular business hours, Monday-Friday 9.00am - 9:00pm GST.  Most items will ship within 2 weeks to 1 month of receipt of payment for domestic orders.  Subject to stock availability.  You may call or email us at any time to find the status of the existing order.  Items are shipped at Reseller's expense for all local locations in Klang Valley.  Areas out of Klang Valley are charge with delivery cost subject to distance.

RETURNS / DEFECTS

You agree to inspect the products promptly upon receipt.  

Only defective products may be returned for exact exchange or credit.  You shall notify us in writing of any shortage, nonconformity or defect or other claim within 3 days after delivery of the products, otherwise you will be deemed to have accepted the products and waive any rights to reject them.

Favoloso Trend is not responsible for products lost or damaged in transit.  Reseller should obtain its own shipping insurance.

Without limiting the foregoing, In case the delivered products are differed from ordered, please inform us immediately and arrange to send back to us on our cost.  Returns shall not be accepted for any products which have been worn, subject to improper storage, maintenance, alteration or other misuse, or to the extent damage or loss results as a consequence of subsequent shipment by you.  

Your sole remedy, for breach of this agreement or otherwise, is to return the defective products to us and our only obligation, upon receipt and inspection of said products at our facility, is, at our option, to either replace such non-conforming products or to refund or credit the price paid by you for such non-conforming products.

PRODUCT SPECIFICATION  

All products distributed by Favoloso Trend is original.  The Printed colors on each bikini may not be exactly the same fabric block, but the best selection of fabric block will be applied to each swimwear order in pattern cutting process.  

INTELLECTUAL PROPERTY

Reseller acknowledges that the name "WETSKIN", all text and graphics of WETSKIN, including the designs, products, images and content presented herein and any inventive concepts, know-how, publicity rights, trademarks, Trade Secrets, copyrights and patents (including any patent-pending items) are the sole property of Favoloso Trend.  

Except as otherwise expressly authorized by Favoloso Trend, you may not copy, reproduce, modify, lease, loan, sell, create derivative works , transmit, or distribute the Intellectual Property of Favoloso Trend in any way without the express written consent of Favoloso Trend.  Favoloso Trend intellectual property shall not be used to promote other brands of apparel or other products.  Reseller agrees to exercise extra care to prevent non-WETSKIN products from being associated with or attributed to WETSKIN.  Reseller agrees that it shall not use any confusingly similar trademarks or trade names as "WETSKIN" .

PRIVACY

Your privacy is important to us.  To better protect that privacy, the only data that we collect, use and store is information you affirmatively provide to us when placing an order by using the Order Form.  While the information you provide will be maintained for a commercially reasonable time by Favoloso Trend for administrative and business purposes, your personally-identifying information is never shared with any third party, other than (i) as required by law, (ii) to protect and defend the rights of Favoloso Trend and, (iii) as incident to a corporate sale, merger, reorganization, bankruptcy or similar event, or (iv) in the event that a need arises to contact you in regard to an order, a question, a customer-service related matter, or as may otherwise be required by law and only to the extent that such contact is required.

MODIFICATION

Favoloso Trend reserves the right to modify the terms and conditions contained herein.  Clerical or computer errors are subject to correction.  No action, omission or course of conduct shall constitute a waiver of any of the terms and conditions hereof, unless such waiver is specified in writing by Favoloso Trend and then, only to the extent so specified.

为建立并推广Favoloso Trend之经销单位，双方同意并签订本协议书以确认双方日后合作交易规范基础，经商议后特订立以下条款，以兹共同遵守。 

一般订货资讯

* 成为代理商的先决条件是您必须是一位零售业者，并签署此份协议书，连同您的订单一起提交至本公司。一旦下了订单之后，签署人即表示为该公司的负责人。

* 代理商只允许于零售店面售卖WETSKIN产品。代理商不得以低于WETSKIN产品市场零售价出售WETSKIN产品。代理商禁止以批发方式出售WETSKIN产品给其他零售商。

* 如果代理商在经营及售卖的过程中，蓄意诋毁本公司品牌和形象，本公司将有权终止代理商权。

网上销售

* 代理商在未获得公司事先书面同意之下，不得于互联网上售卖Favoloso Trend的产品。

* 代理商不得参与、直接或间接地在eBay或其它类似拍卖网站售卖Favoloso Trend产品。在未经公司同意之下，擅自在网络销售Favoloso Trend产品。

* 如代理商触犯以上条规，公司将有权追讨合理的赔偿。

付款

* 所有订单须经Favoloso Trend的批准。所有款项皆以马币交易，款项需于订单交货前付清。Favoloso Trend接受以下付款方式：本地银行支票，现金或其他汇款方式（需预先获得公司同意）。

定价政策

*Favoloso Trend将依据收获订单或发货单的日期即时报价，报价单发出十天后，若价格有所更改，恕不另行通知。产品以先到先得为标准，不保证有存货。首次订单以70套为基础，回购则以50 或 70套为最低订货条件。所有配套的比基尼布料设计、颜色和款式将由Favoloso Trend挑选。Favoloso Trend有权随时更改这个数字。

运输

* 所有货品将由吉隆坡送出，工作时间：周一至周五，时间：9am – 9pm。

* 国内订单将于付款后的两周至一个月内送出。将视存货的状况而定。

* 代理商可拨电或电邮询问订单的状态。

* 所有运输费用将由代理商承担，收费将依据距离远近来征收。

瑕疵/退换货

* 货物送达时请及时检查产品。

* 唯瑕疵货品可退换。若发现货品不齐全、瑕疵等问题，请于货物抵达后的三天之内书面通知，否则你将被视为已经接受了产品。

* 运输途中如货品丢失或损坏，公司一概不负责。代理商建议自行购买相关保险。 

*如发现货不对版，请即时通知并将货品送回，一切费用将由本公司承担。退换货时，若商品在运输过程中，因储存不当或其他因素直接或间接的导致货品损坏，本公司一概不接受退换，恕不受理。

*所有退换货的手续必须经过本公司的审核，如产品已缺货，公司将退回相关货品同等值的金额。

产品规格

*由Favoloso Trend送出的所有产品皆属正品。比基尼布料皆以大布剪裁，每件花色会不太相同，公司将筛选并采用图案、颜色最佳的布料作为我们的比基尼。

知识产权

*所有命名为“WETSKIN”的文字和图形，包括设计、产品、图像、此份协议书内容和任何创造性的概念、知识、宣传权利、商标、商业外观、商业秘密、著作权、专利（包括专利申请中的项目）皆属于Favoloso Trend的知识产权，不得外泄或抄袭。

*未经Favoloso Trend书面授权及同意，代理商不得复制、再生产、修改、出租、出借、出售、传送或分发任何有关本公司的知识产权。代理商不可使用任何与“WETSKIN”近似的商标或商号，此外，本公司产品不得参杂其他品牌产品一起售卖。

隐私

*本公司将保护并储存所有代理商的个别资料及讯息，绝不提供给第三者。所有提供的资料将用于行政及商业用途，（一）法例要求，（二）保护和维护Favoloso Trend的权利，（三）作为向企业销售、联盟、重组、破产或类似的事件，或（四）因订单相关因素或客户服务相关的问题。

修改

*Favoloso Trend有权修改以上条款。若人为因素或电脑差错可予以更正。以上所有条款不得随意删除，除非获得本公司的书面同意。 若中英文协议书版本出现不符之处，将以英文版本为依据。

*代理商欲询问任何关于订单的事项，请电邮至sales@wetskinbikini.com或拨电询问详情。

在签署协议书之后，即表示您同意并了解以上所有条约。
